Acceptance of Terms

By accessing and using Wheels Up's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our service.

These terms constitute a legally binding agreement between you ("Member," "you," or "your") and Wheels Up ("Company," "we," "our," or "us").

Service Description

Wheels Up provides an exclusive matchmaking service for high-net-worth individuals. Our services include:

• Comprehensive member vetting and verification
• Personalized profile creation and curation
• Advanced matching algorithms and consultation
• Relationship coaching and guidance

• Discretionary introduction services
• Background verification and screening
• Concierge support and member assistance
• Exclusive member events and networking

Membership Eligibility

Minimum Requirements

• Minimum age of 25 years
• Verified annual income of $500,000+ or equivalent net worth
• Single status seeking serious, long-term relationships
• Successful completion of comprehensive background checks
• Adherence to our community standards and values
• Commitment to discretion and respect for other members

Verification Process

All members must undergo and successfully pass:

• Financial verification through certified documents
• Criminal background check (CORI)
• Sex offender registry check (SORI)
• Credit assessment and financial stability review
• Employment and education verification
• Personal interview with our membership committee

Membership Fees and Payment

Annual Membership

Total Investment: $25,000 per year

Payment Structure: Single payment due upon approval

Payment Due: Full payment required upon membership approval

Renewal: Annual membership with yearly payment

Payment Terms

• All fees are non-refundable after 14-day cooling-off period
• Payments processed securely through Stripe
• Late payment fees apply after 30-day grace period
• Membership suspended for non-payment
• Annual fee adjustment may apply with 90-day notice

Member Obligations and Conduct

Code of Conduct

Members agree to:

• Provide truthful, accurate, and complete information
• Maintain the highest standards of personal conduct
• Respect the privacy and confidentiality of other members
• Use the service solely for personal, non-commercial purposes
• Report any suspicious or inappropriate behavior immediately
• Comply with all applicable laws and regulations

Prohibited Activities

The following activities are strictly prohibited:

• Providing false or misleading information
• Harassment, stalking, or inappropriate contact
• Sharing or disclosing other members' information
• Commercial solicitation or business networking
• Creating multiple profiles or accounts
• Any illegal or unethical behavior

Privacy and Confidentiality

Mutual Confidentiality

Both the Company and Members agree to maintain strict confidentiality regarding all aspects of the service, member identities, and any interactions facilitated through the platform. This obligation continues indefinitely, even after membership termination.

Non-Disclosure Agreement

By accepting membership, you agree to a comprehensive non-disclosure agreement covering all member information, company processes, and proprietary matching algorithms. Breach of confidentiality may result in immediate termination and legal action.

Service Limitations and Disclaimers

No Guarantee of Results

While we maintain high success rates, Wheels Up cannot guarantee that you will find a romantic partner or that any introductions will result in long-term relationships. Relationship success depends on numerous factors beyond our control.

Member Responsibility

Members are solely responsible for their interactions with other members, including all communications, meetings, and relationship decisions. The Company serves as a facilitator but is not responsible for member conduct or relationship outcomes.

Limitation of Liability

The Company's total liability shall not exceed the total membership fees paid by the member. We are not liable for any indirect, incidental, consequential, or punitive damages arising from use of our services.

Membership Termination

Voluntary Termination

• Members may terminate their membership with 30 days written notice
• No refunds for partial membership periods
• Access to services ends immediately upon termination
• Confidentiality obligations continue indefinitely

Involuntary Termination

The Company reserves the right to terminate membership immediately for:

• Violation of these Terms of Service
• Inappropriate conduct or behavior
• Breach of confidentiality obligations
• Non-payment of membership fees
• Providing false or misleading information
• Legal or regulatory concerns

Governing Law and Dispute Resolution

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Arbitration

Any disputes arising from these terms or the use of our services shall be resolved through binding arbitration conducted by the American Arbitration Association. Arbitration proceedings shall be confidential and conducted in New York, NY.

Class Action Waiver

Members agree to resolve disputes individually and waive the right to participate in class action lawsuits or class-wide arbitrations.

Modifications to Terms

Wheels Up reserves the right to modify these Terms of Service at any time. Members will be notified of material changes via email and through our platform. Continued use of our services after notification constitutes acceptance of the modified terms.
